Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services, websites, and software provided by TridentStack LLC ("TridentStack," "we," "us," or "our"), including TridentStack Control, TridentStack Protect, and any other products or services we offer (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
1. Definitions
- "Account" means your registered account with TridentStack that allows you to access the Services.
- "Agent" means the software application installed on your endpoints that communicates with our Services to provide patch management, security monitoring, and related functionality.
- "Customer Data" means any data, content, or information you submit to the Services or that is collected from your endpoints through the Agent, including but not limited to system inventory, software versions, vulnerability data, compliance status, and telemetry data.
- "Endpoint" means any computer, server, or device on which you install the Agent.
- "Subscription" means your paid or free plan that determines your access level, features, and number of permitted Endpoints.
2. Account Registration and Security
To use our Services, you must create an Account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account.
You must immediately notify us of any unauthorized use of your Account or any other security breach. We will not be liable for any loss or damage arising from your failure to protect your Account credentials.
You may authenticate using third-party identity providers (such as Microsoft or Google). Your use of such providers is subject to their respective terms and privacy policies.
3. Services and License Grant
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and to install and use the Agent on Endpoints you own or control, solely for your internal business purposes.
The Services may include:
- Patch management and software update deployment
- Vulnerability detection and security scanning
- Compliance framework evaluation and reporting
- Configuration policy management and enforcement
- Network exposure monitoring and analysis
- Third-party application management
- Security monitoring and threat detection
4. Agent Software
The Agent software operates with elevated system privileges to perform its functions, including installing updates, modifying system configurations, and collecting system telemetry. By installing the Agent, you acknowledge and consent to these operations.
You are solely responsible for:
- Ensuring you have the authority to install software on your Endpoints
- Testing updates and configurations in non-production environments before deployment
- Maintaining adequate backups of your systems and data
- Reviewing and approving updates before deployment to production systems
- Compliance with your organization's change management procedures
We may automatically update the Agent software to provide security patches, bug fixes, and new features. You may disable automatic updates through the Services, but doing so may affect functionality and security.
5. Subscriptions and Payment
Free Tier: We offer a free tier that includes one (1) Agent at no cost. The free tier is subject to feature limitations and may be modified or discontinued at our discretion.
Paid Subscriptions: Paid subscriptions are billed in advance on a monthly or annual basis. Fees are based on the number of Endpoints and features selected. All fees are non-refundable except as expressly set forth in these Terms.
Cancellation: You may cancel your subscription at any time. Upon cancellation, you will retain access to paid features until the end of your current billing period. No refunds or credits will be provided for partial billing periods.
Price Changes: We may change our prices at any time. Price changes will take effect at the start of your next billing cycle. We will provide at least thirty (30) days' notice of any price increase.
6. Service Level Agreement
We commit to maintaining 99.9% availability for the Services, measured on a monthly basis, excluding scheduled maintenance and circumstances beyond our reasonable control.
Exclusions: The following are excluded from availability calculations:
- Scheduled maintenance with at least 24 hours' notice
- Emergency maintenance required for security or stability
- Issues caused by your systems, networks, or third-party services
- Force majeure events
- Features labeled as "beta" or "preview"
Remedy: If we fail to meet our availability commitment, your sole remedy is a service credit equal to 10% of your monthly fees for each full percentage point below 99.9%, up to a maximum of 30% of monthly fees.
7. Data and Privacy
Your Data: You retain all rights to your Customer Data. You grant us a limited license to use, process, and store Customer Data solely to provide the Services and as described in our Privacy Policy.
Data Collection: The Agent collects information from your Endpoints necessary to provide the Services, including but not limited to:
- System hardware and software inventory
- Installed applications and versions
- Security configurations and compliance status
- Network configuration and listening ports
- Update installation status and history
- Performance and health metrics
Data Retention: Upon termination of your Account, we will retain your Customer Data for ninety (90) days, after which it will be deleted. You may request earlier deletion or export of your data.
Data Security: We implement industry-standard security measures to protect Customer Data. However, no system is completely secure, and we cannot guarantee absolute security.
8. Acceptable Use
You agree not to:
- Use the Services to manage Endpoints you do not own or have authority to manage
- Reverse engineer, decompile, or disassemble any part of the Services or Agent
- Circumvent any access controls or usage limitations
- Use the Services to develop a competing product or service
- Share Account credentials or allow unauthorized access
- Interfere with or disrupt the Services or other users
- Use the Services in violation of any applicable laws or regulations
- Exceed the number of Endpoints permitted by your Subscription
9. Resellers and Managed Service Providers
Managed service providers (MSPs), resellers, and similar entities may use the Services to manage Endpoints on behalf of their clients, subject to the following conditions:
- You must have a valid agreement with each client authorizing you to manage their systems
- You are responsible for your clients' compliance with these Terms
- You must maintain appropriate confidentiality of client data
- Your clients' data remains subject to these Terms and our Privacy Policy
- You may not sublicense or further resell the Services without our written consent

10. Compliance and Security Disclaimers
IMPORTANT: Please read this section carefully.
Compliance Frameworks: The Services may include features to evaluate your systems against compliance frameworks such as CIS Benchmarks, DISA STIGs, NIST guidelines, and others. These evaluations are provided for informational purposes only. We do not guarantee that using our Services will make you compliant with any specific framework, regulation, or standard. Compliance is your responsibility, and you should consult with qualified professionals.
Vulnerability Detection: Our vulnerability detection features are designed to identify known vulnerabilities based on available data. We do not guarantee detection of all vulnerabilities, zero-day exploits, or security threats. The absence of detected vulnerabilities does not mean your systems are secure.
Patch Management: While our Services facilitate patch deployment, you are solely responsible for testing, approving, and deploying updates. We are not responsible for any system failures, data loss, or business interruption resulting from the installation of updates, whether deployed automatically or manually.
No Security Guarantee: The Services are tools to assist with security management but do not guarantee security. We are not responsible for security breaches, data theft, ransomware, or other security incidents affecting your systems.
11. Intellectual Property
The Services, including all software, content, designs, and documentation, are owned by TridentStack or our licensors and are protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.
We welcome feedback and suggestions about the Services. By providing feedback, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate such feedback into our products and services.
12. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT WARRANT THAT THE SERVICES WILL DETECT ALL VULNERABILITIES, PREVENT ALL SECURITY INCIDENTS, OR ENSURE COMPLIANCE WITH ANY STANDARD OR REGULATION.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRIDENTSTACK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, REGARDLESS OF WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
14. Indemnification
You agree to indemnify, defend, and hold harmless TridentStack and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any third-party rights
- Any Customer Data you submit to the Services
- Actions taken by your employees, contractors, or agents
15. Term and Termination
These Terms remain in effect until terminated. We may terminate or suspend your access to the Services immediately if you breach these Terms, fail to pay fees when due, or for any other reason with thirty (30) days' notice.
Upon termination:
- Your license to use the Services and Agent immediately terminates
- You must uninstall the Agent from all Endpoints
- We will retain your data for ninety (90) days, then delete it
- Sections 7, 10-14, and 16-18 survive termination
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Utah, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved exclusively in the state or federal courts located in Utah, and you consent to the personal jurisdiction of such courts.
Informal Resolution: Before filing any legal claim, you agree to contact us and attempt to resolve the dispute informally for at least thirty (30) days.
17. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by email or through the Services at least thirty (30) days before the changes take effect. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.
If you do not agree to the modified Terms, you must stop using the Services and cancel your Subscription before the changes take effect.
18. General Provisions
Entire Agreement: These Terms, together with our Privacy Policy and any order forms or service agreements, constitute the entire agreement between you and TridentStack regarding the Services.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
Waiver: Our failure to enforce any provision of these Terms does not waive our right to enforce it later.
Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or infrastructure failures.
Export Compliance: You agree to comply with all applicable export control laws and regulations.
